Overview of role

As a paralegal of the investment funds and corporate group, you will be a part of a top tier team of lawyers and other professionals and will be exposed to, and be involved in, a broad variety of transactions and entity types utilising Cayman Islands, British Virgin Islands and Bermudan entities.  You will be a key part of a team assisting associates and partners in a variety of transaction types including private equity and mutual fund formation, PE/VC investment deals, M&A, SPACs and capital market matters.

Duties, Responsibilities & Person Specification

  1. Assisting in incorporation and registration of a variety of Cayman Islands and BVI legal entity types which will involve:
    • proactively managing the incorporation and formation process of both regulated and non-regulated entities;
    • preparing draft resolutions and constitutional documents;
    • preparing statutory filings and declarations;
    • assisting in advising on a variety of regulatory matters affecting regulated entities;
    • co-ordinating with foreign offices to arrange filings;
    • liaising with various other parts of the business including the compliance team to ensure client due diligence have been received;
    • preparing legal opinions and co-ordinating searches relevant to the provision of such opinions;
  2. Assisting in relation to the conduct of private equity and M&A transactions including:
    • reviewing statutory records and preparing due diligence reports;
    • preparing legal opinions and ancillary transaction documents, including resolutions, forms, letters and instruments;
    • assisting with transaction closing;
  3. Assisting in capital markets transactions including:
    • liaising with instructing counsel in respect of group reorganisation documents;
    • preparing documents including legal opinions, directors' certificates, and consent letters;
    • preparing and maintaining closing checklists and actively managing the transaction closing process; and
    • liaising with instructing counsel and clients on general enquiries;
  4. Assisting in general corporate matters including:
    • drafting corporate documents, including applications for shares, share transfers, consent to act and resignation letter;
    • conducting company and court searches;
    • preparing board and shareholder resolutions, minutes and other corporate governance related documents; and
    • co-ordinating with registered office provider to ensure that the relevant register has been accurately updated; and
  5. Legal translation.

Education, Skills & Experience

  • Minimum of 2 to 4+ years' of experience in a legal environment as a paralegal or legal assistant in a funds and/or funds and corporate team, preferably in an offshore law firm; experience with equity capital markets would be an advantage; and
  • Undergraduate degree, with academic background in legal.
