Overview of role
As a Paralegal, you will not give legal advice to clients. However, the Paralegal will be authorised to provide advice regarding various procedural steps. The Paralegal will be expected to assist his/her designated lawyers in providing all forms of legal services for clients of the Firm in a variety of investment funds, regulatory, corporate, IDR and finance matters, including those set out below.
Duties, Responsibilities & Person Specification
GENERAL
- Draft, proofread, and prepare a wide range of legal documents, including correspondence, pleadings, agreements, resolutions, and filings.
- Assist with legal research, reviewing records, and supporting due diligence efforts.
- Maintain accurate and organised client and matter files, ensuring records, registers, and documentation are kept up‑to‑date.
- Liaise with instructing counsel, clients and professional parties on enquiries.
- Support lawyers with closing processes, transaction management, checklists, and preparation of closing sets of documentation / transaction bibles.
- Assist with drafting engagement letters, fee estimates, and routine internal forms.
- Manage document production, certification, notarisation, and legalisation processes as required.
- Provide support to lawyers in firm's marketing events including the preparation of pitches, presentation and marketing materials.
- Liaise with foreign office secretaries (e.g. those in our Cayman office) or third party registered office services providers ("RO Providers") to arrange filings and obtain updated registers, certificate of good standing, certificate of incumbency, tax exemption certificates, etc.
- Liaise with RO Providers and our internal compliance team from time to time to ensure client due diligence information and documentation have been received.
IDR
- Research and analyse law sources such as statutes, recorded judicial decisions, legal articles, treaties, constitutions, legal codes and laws.
- Prepares legal documents such as briefs, pleadings, affidavits, appeals, contracts, initial and amended articles of incorporation, closing papers and binders, deeds, and trust instruments for review, approval, and use by the instructing lawyers.
INVESTMENT FUNDS
- Proactively manage incorporation, fund registration and de-registration processes.
- Prepare draft launch resolutions and constitutional documents.
- Prepare statutory filing forms, declarations, affidavits and other supporting materials.
- Prepare fee estimates and engagement letters.
CORPORATE
- Assist responsible lawyers in PE investments and M&A matters.
- Liaise with instructing counsel on group reorganisation documents.
- Assist in transactional corporate secretarial matters including preparing authorising resolutions, ancillary transaction documents and constitutional documents.
- Assist responsible lawyers in general corporate work.
- Draft corporate documents, including application for shares, share transfer form, consent to act and resignation letter.
- Conduct company and court searches.
- Prepare draft of resolutions approving various corporate actions.
FINANCE
- Prepare first drafts of standard form documents including legal opinions, directors' certificates, and consent letters.
- Prepare first drafts of security agreements and related filing documentation/deliverables.
- Prepare and maintain closing checklist and actively manage the closing process.
- Liaise with instructing counsel and clients on general enquiries.
Education, Skills & Experience
EDUCATION/ EXPERIENCE/ QUALIFICATION
- Law degree or equivalent paralegal qualification.
- Paralegal experience within a law firm or similar professional services firm.
- Offshore experience is preferred but not essential.
