Walkers Professional Services ("WPS") sets a “best in class” standard in the provision of company secretarial services and corporate administration services to regulated funds, aircraft leasing and structured finance special purpose vehicles (SPVs) in Ireland. WPS is led by a team of highly skilled professionals drawn from company secretarial, compliance, legal and accounting fields. The team combines a depth of specialised experience with a focus on consistently delivering high quality results.

WPS is recruiting for an energetic highly motivated company secretary to join our rapidly expanding team. This is a client-facing role and will provide the successful applicant with the opportunity to gain experience across a broad range of areas through a combination of mentoring and hands-on work with clients in a carefully monitored environment.

 

This role is suitable for ambitious candidates that wish to build a successful career in an industry leading company secretarial practice.

Key Responsibilities

The successful candidate will be a member of the company secretarial team and part of a busy, client facing, professionally qualified team. Their main responsibilities will include:

  • Undertake a variety of company secretarial duties including company incorporations, annual compliance, filings including annual returns with the Companies Registration Office and other ad hoc changes such as change of name, change of officers and share transactions;
  • Establish and maintain statutory books and records including setting up initial statutory registers and updating registers following any changes;
  • Assist with dispensing with or holding general meetings which includes providing notice of meetings, collating proxy forms and ensuring sufficient votes have been received to hold the meeting;
  • Preparation of know your customer (KYC) packs for client entities including certification and notarisation and apostilling of corporate documents;
  • Ensure compliance with internal policies and procedures, while actively contributing to process improvements within the team and to a positive office environment;
  • Involvement in all board meeting logistics including agreeing board calendars, sending calendar invitations and diarising agreed dates with boards of directors; and
  • Assist with the preparation of board packs, attending board meetings and drafting minutes. 

Skills and Competencies

  • A university law or business graduate, with an excellent academic background;
  • A desire to work in a client facing environment where delivery of a professional service to both clients and other stakeholders is of key importance;
  • Strong communication skills, an ability to think on their feet, excellent attention to detail and exceptional organisational skills are essential for this multi-client role;
  • Conscientious, organised and team player who can work as part of a wider team; and
  • Enthusiastic in nature, with a real interest in learning and developing their skills.
