WPS is led by a team of highly skilled professionals drawn from company secretarial, compliance, legal and accounting fields. The team combines a depth of specialised experience with a focus on consistently delivering high quality results.

WPS is recruiting for an energetic highly motivated junior company secretary to join our rapidly expanding team. This is a client-facing roll and will provide the successful applicant with the opportunity to gain experience across a broad range of areas through a combination of mentoring and hands-on work with clients in a carefully monitored environment.

This role is suitable for ambitious candidates with 0-18 months experience that wish to build a career in an industry leading company secretarial practice.

Key Responsibilities

The successful candidate will be part of a busy, client facing team. Their main responsibilities will include working with regulated funds and corporate entities and completion of the following tasks:

  • Arrange board meeting logistics including agreeing board calendars, sending calendar invitations and diarising agreed dates with Board of Directors;
  • Formulate board meeting agendas with input from the legal advisors and clients;
  • Collate all board papers into a board pack for circulation to the Boards;
  • Attend board meetings for the purpose of taking detailed board minutes;
  • Issue action points from Board meetings to the identified responsible parties and follow up;
  • Liaise with the Boards in relation to their comments on the draft board minutes and incorporating the Boards’ comments into the minutes prior to each board meeting in accordance with an agreed timeline; Circulate draft board minutes and action points in accordance with an agreed timeline;
  • Assist with general meetings of shareholders;
  • Manage a variety of company secretarial duties including company incorporations, annual compliance, filings including annual returns with the Companies Registration Office and other ad hoc duties;
  • Establish and maintain statutory books and records;
  • Ensuring compliance with internal policies and procedures, while actively contributing to process improvements within the team and to a positive office environment.

Skills & Competences

  • A university law or business graduate, with an excellent academic background;
  • Completion of the company secretarial qualification (Grad ICSA) or a desire to complete same would be a distinct advantage;
  • A desire to work in a client facing environment where delivery of a professional service to both clients and other counterparties is of key importance;
  • Strong communication skills, an ability to think on their feet, excellent attention to detail and exceptional organisational skills are essential for this multi-client role;
  • Conscientious, organised and team player who can work on their own and as part of a wider team; and

Enthusiastic in nature, with a real interest in learning and developing their skills
