Overview of role
The Assistant Vice President will act as the primary relationship manager for a diverse portfolio of high value clients including hedge funds and private equity funds and, as a senior member of the team, will be responsible for a number of projects while also assisting clients in meeting their governance requirements.
Duties, Responsibilities & Person Specification
- Creation of agendas, collation and distribution of board packs and liaising with relevant service providers
- Management of board, advisory and shareholder meetings including acting as company secretary for purposes of taking meeting minutes
- Preparation of detailed meeting minutes, distribution of board minutes, arranging for the sign-off of minutes and carrying out any post meeting actions as required
- Act as primary point of contact for portfolio of entities
- Dealing with correspondence and administrative matters on a wide range of issues from attorneys, clients and external service providers
- Invoicing and AR management
- Initiating, leading or assisting with projects as necessary including the documentation of processes and protocols and embedding best practice
- Able to work flexible hours and outside of normal business hours from time to time and as needed within the board meeting support service line
- Other ad hoc projects as maybe required within WPS from time to time.
Education, Skills & Experience
- A minimum of a bachelor's degree in law, business or languages with strong academic background and ideally the ICSA or CGI qualification
- A minimum 5 years' relevant fund company secretarial experience in industry and/or professional practice
- Possess strong knowledge of the Cayman Islands Monetary Authority's Statement of Guidance, Corporate Governance, Mutual Funds and Private Funds
- Demonstrate a strong working knowledge of key business processes and the regulatory frameworks impacting board meeting support services
- A track record of attending, running and co-ordinating board meetings and the ability to prepare detailed and accurate minutes of such meetings in a timely manner
- Excellent verbal and written communication skills
- Adept at multi-tasking with an ability to work under pressure to meet deadlines while working to a right first time standard
- Can comfortably work independently and as a cooperative member of a team
