Overview of role

The Vice President, Company Secretary will possess a deep understanding of current corporate governance and company secretarial requirements and best practices across all jurisdictions where Walkers Professional Services operates. This role demands a commitment to staying abreast of emerging corporate governance trends and regulatory changes. The Vice President will hold client-facing responsibilities, necessitating the simultaneous management of a diverse client portfolio, project-based work, and strict regulatory deadlines. This is a multifaceted role requiring exceptional time management skills.

Duties, Responsibilities & Person Specification

  • Provide comprehensive company secretarial services and meeting support to a diverse client base, including hedge funds and private equity funds. This includes:
    • Creating agendas, collating and distributing meeting packs, and liaising with relevant service providers.
    • Managing board, advisory, and shareholder meetings, including acting as company secretary for minute-taking purposes.
    • Preparing detailed meeting minutes, distributing board minutes, arranging for signatures, and executing all required post-meeting actions.
  • Serve as the primary relationship manager for a varied client portfolio, handling correspondence and administrative matters with attorneys, clients, and external service providers.
  • Oversee the administration and management of corporate governance services for a portfolio of entities.
  • Manage invoicing and Accounts Receivable (AR).
  • Support management on corporate governance projects, including the documentation of processes and protocols.
  • Undertake additional ad-hoc duties as required."

Education, Skills & Experience

  • Bachelor's degree in Law, Business, or Languages with a strong academic record.
  • Minimum of 5 years of relevant experience in industry and/or professional practice, ideally within an offshore legal or financial services environment.
  • Demonstrable in-depth knowledge of current corporate governance requirements in the Cayman Islands.
  • Proven experience in attending, managing, and coordinating meetings, coupled with the ability to prepare detailed minutes accurately and efficiently.
  • Demonstrable project management experience.
  • Exceptional ability to thrive under pressure and meet tight deadlines, while working effectively both independently and as a collaborative team member.
  • Flexibility to work outside normal business hours and undertake travel as required.
