We invite applications from suitably qualified candidates for the position of Vice President (VP). Reporting to the lead of the bespoke fiduciary solutions team, the VP will undertake a high volume of complex transactions across funds, including CIMA registered funds, restructuring and other bespoke fiduciary mandates, whether fiduciary or administrative in nature, and manage and administer a portfolio of companies while delivering best in class service to our clients. This will include working closely with global Walkers legal teams and internal WPS stakeholders across multiple jurisdictions to enhance our competitive position and achieve our strategic objectives.
Duties, Responsibilities & Person Specification
- Act in a fiduciary capacity as a director, manager or officer to a wide variety of legal structures including a variety of fund structures including CIMA registered funds, corporate and bespoke trust structures, fulfilling all fiduciary duties as appropriate;
- Lead and execute fiduciary appointments on fund formation, ongoing operations and restructuring transactions (including reorganisations, refinancings and wind downs);
- Liaise with attorneys, investment managers, administrators, auditors, investment bankers and other relevant parties concerning the setting up of new business, restructuring initiatives, and ongoing matters, responding to queries in a timely and commercial manner;
- Chair and facilitate periodic board meetings, driving effective discussion, decision making, and regulatory and governance compliance;
- Review and approve financial statements drawing on sufficient technical knowledge and experience to ensure fiduciary duties are properly discharged;
- Critically assess new business, restructurings and complex transactions through detailed review of transaction documentation, fee proposals and new business acceptance submissions to senior management;
- Demonstrate the ability to analyse complex deal and restructuring documents, identify and escalate structural, commercial and risk issues, manage tight timelines, and deal directly with clients and counsel in real time;
- Management of accounts receivable and initial billing for own portfolio;
- Ensure all regulatory and compliance obligations are adhered to and appropriately documented, including liaising with service providers;
- Contribute to the continuous enhancement of internal controls and key operating procedures;
- Ensure the proprietary database is completed with accurate data from client take on through to transaction closing, including key restructuring milestones, transaction dates and annual deliverables;
- Identify key risk areas and provide guidance on appropriate risk mitigation solutions;
- Manage and mentor junior team members; and
- Initiate, lead or assist with ad hoc projects, as required.
Education, Skills & Experience
- Professional qualification as a qualified accountant (CA, ACCA, ACA, CPA or equivalent) or a qualified lawyer (attorney) and a relevant university degree in business, law, accounting or finance is required;
- A registered director under the Cayman Islands Directors Registration and Licensing Act or be willing to register.
- Minimum of 5 years relevant fiduciary and financial services experience, preferable with demonstrable director level experience;
- Proven experience in offshore funds, corporate or trust and bespoke structures;
- Experience with CIMA registered funds, unit trusts and insurance structures would be an advantage;
- In depth knowledge of strong corporate governance practices;
- Awareness of local and international regulatory and commercial issues affecting the financial services industry;
- Experience working on cross border and multi-jurisdictional international structures spanning (including, for example, Cayman Islands, Ontario, Delaware, Ireland, UAE and Luxembourg);
- Proven experience and skills in marketing and fostering strong client relationships;
- Demonstrable ability to audit, analyse and interpret financial and operational data;
- Expert knowledge of Microsoft Word, Excel and Outlook.
