Overview of role

The individual will be responsible for providing high quality, responsive, day-to-day corporate administrative services to a varied portfolio of entities including international and local companies and partnerships as assigned by the Vice President or Manager in accordance with Company policy and such other responsibilities.

Corporate Services Administrators are required to be responsible for the administration of their own large portfolio of companies and partnerships, working closely with the relevant responsible attorneys within Walkers.

Duties, Responsibilities & Person Specification

  • To provide corporate administration services to a portfolio of client companies (local and exempted) and partnerships, including statutory and regulatory compliance and supporting corporate transactions and board processes.
  • Responsible for communications with clients and local regulatory bodies and maintaining client corporate records according to the requirements set out in the relevant legislation
  • Ensure workflows and processes are carried out and adhered to.
  • To maintain the client database including Viewpoint, where relevant, in relation to the assigned portfolio and to assist with the ongoing task of maintaining the database's integrity
  • Display and promote professionalism, quality service and a "can do" attitude to colleagues and clients.
  • Build business relationships and proactively contribute to the commercial success of our business
  • Develop technical knowledge and practical capabilities through internal training, self-driven development and day to day exposure to corporate administration workflows
  • To prepare and file corporate documents with government agencies
  • To interpret board and shareholder resolutions and agreements and  update the corporate records accordingly
  • Such other tasks as Management or the Directors may request from time to time

 

SUPERVISORY RESPONSIBILITIES

 

This position has no supervisory responsibilities.

COMPUTER KNOWLEDGE

Windows -Microsoft Word - Microsoft Excel – Outlook;

Experience of Viewpoint corporate administration software highly desirable.

 

EDUCATION and/or EXPERIENCE

  • The individual must hold a high school diploma, completed Corporate Secretarial Practice I and II, be partly or fully qualified ICSA preferred, and/or an undergraduate degree in a business related subject. Solid Corporate Administration experience is required.

 

 Additionally, the following is required:

 

  • Minimum of five years' corporate administration experience including the provision of back office administration for board and shareholder meetings and ensuring compliance with corporate governance standards and industry best practice.
  • A working knowledge of the Companies Act 1981, the Limited Liability Company Act 2016, the Partnership Act 1908, The Exempted Partnership Act 1992, the Insurance Act 1978, the Incorporated Segregated Accounts Companies Act 2019, the Limited Partnership Act 1883, The Segregated Accounts Companies Act 2000 and other such Acts and Guidance Notes and regulations relating to the administration of companies and partnerships in Bermuda.
