Overview of role
The Paralegal will assist the Banking and Finance team in a variety of banking and finance, corporate, and capital markets matters and will work closely with the lawyers and support staff in the team.
Duties, Responsibilities & Person Specification
Prepare fee estimates and engagement letters.
Assist with conflicts searches.
Prepare first draft documents for and assist with new incorporations.
Conduct court and company searches and review and summarise results.
Obtain certificates of good standing.
Prepare first drafts of the corporate authorisations, transaction documents and other work products, including:

- board and shareholder resolutions;
- director certificates;
- charge registration documents;
- legal opinions; and
- security documents.
Assist with security registration.
Assist with the preparation of signature pages and signing packs.
Liaise with clients and service providers.
Manage compliance process and proactively liaise with service providers and the internal compliance team from time to time.
Education, Skills & Experience
- Diploma in paralegal studies.
- A minimum of three years' experience working in a legal environment as a paralegal, legal assistant or company secretary.
- Excellent writing skills with fluency in both spoken and written English.
- Ability to work independently and as a team member.
- Manage a complex and demanding workload and prioritise tasks and projects to meet deadlines.
- Communicate clearly and effectively both verbally and in writing, with people at all levels of understanding. This will include high quality professional correspondence with clients and counterparts, as well as colleagues.
- Working knowledge of computerised systems including the intranet, databases for legal resources etc.
- Ability and willingness to occasionally work outside normal working hours/days when requested.
- Mandarin language skill - would be an advantage but is not required
